Instructor Task Order

This Task Order is intended to be used with Skunkworks Academy’s master subcontractor agreement. If no master agreement has been signed, the terms in this Task Order apply together with any written terms agreed by the parties.

6. Quality Benchmarks

The Instructor shall deliver high-quality training or services in a professional manner and in accordance with Skunkworks Academy’s standards, the client’s requirements, and the applicable course or project outline.

7. Class Cancellation and Rescheduling

  1. If a confirmed public class is cancelled or rescheduled fourteen (14) or more calendar days before the start date, Skunkworks Academy may reassign the Instructor to the rescheduled class or release the Instructor from the engagement.
  2. If cancellation occurs between six (6) and thirteen (13) calendar days before the start date, the Instructor may be paid up to fifty percent (50%) of the agreed delivery fee, plus approved non-refundable expenses.
  3. If cancellation occurs between one (1) and five (5) calendar days before the start date, the Instructor may be paid up to seventy-five percent (75%) of the agreed delivery fee, plus approved non-refundable expenses.
  4. Private, client-specific, bespoke, or project-based engagements may follow different cancellation terms if stated in this Task Order.
  5. If the Instructor cancels or becomes unavailable, the Instructor must immediately notify Skunkworks Academy and assist, where possible, with identifying a suitable replacement approved by Skunkworks Academy.

8. Instructor Obligations

  1. The Instructor must be prepared, punctual, suitably qualified, and familiar with all course materials, labs, tools, and platform requirements.
  2. The Instructor must comply with Skunkworks Academy policies, client policies, platform rules, confidentiality requirements, and security instructions.
  3. The Instructor must complete attendance records, learner evaluations, assessment records, delivery notes, and reports where required.
  4. Daily evaluations must be submitted by the end of the applicable training day, unless otherwise agreed.
  5. Final evaluations and required completion documentation must be submitted within after course completion.
  6. No additional expenses, scope changes, delivery changes, or substitutions will be accepted unless approved in writing by Skunkworks Academy.

9. Failed Delivery / Client Non-Payment

If a client refuses to pay Skunkworks Academy because of the Instructor’s failed, incomplete, negligent, materially late, or unsatisfactory delivery, Skunkworks Academy may withhold payment to the Instructor for the affected services.

If the client makes partial payment due to delivery issues attributable to the Instructor, Skunkworks Academy may prorate the Instructor’s payment based on the amount actually received and the original agreed fee.

10. Confidentiality, Materials and Data

  1. The Instructor must keep confidential all Skunkworks Academy, client, learner, pricing, platform, courseware, business, technical, and personal information.
  2. Materials, slides, labs, manuals, recordings, credentials, systems, and client data may be used only for the approved engagement.
  3. The Instructor must not copy, distribute, reuse, publish, sell, share, or train AI systems on Skunkworks Academy or client materials without written approval.
  4. Where personal information is handled, the Instructor must process it only as instructed by Skunkworks Academy and must protect it against loss, unauthorised access, misuse, or unlawful disclosure.
  5. The Instructor must immediately notify Skunkworks Academy of any suspected confidentiality, security, or data breach.

Appendix B: Invoice Submission Policy

Purpose: To ensure invoices are accurate, complete, and processed timeously.

B1. Required Invoice Documentation

  1. Invoice must be submitted in PDF format.
  2. Invoice must be addressed to Skunkworks Academy (Pty) Ltd.
  3. Invoice must include the Task Order / Job Code.
  4. Invoice must include the date or dates on which services were delivered.
  5. A signed copy of this Task Order must be attached.
  6. Approved expense claims must include itemised details and valid receipts.
  7. The invoice amount must match the approved Task Order unless Skunkworks Academy approved a variation in writing.

If an invoice is incomplete or incorrect, Skunkworks Academy may return it for correction. Payment timing will run from the date Skunkworks Academy receives the corrected invoice and all required documents.
